AGREEMENT TO OUR LEGAL TERMS

We are RP, LLC, doing business as Rack Pack ("Company," "we," "us," or "our"), a company registered in Oregon, United States at 749 Pierce Road, Medford, OR 97504.

We operate the website https://myrackpack.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (collectively, the "Services").

Rack Pack is a children's cooking and educational kit brand selling directly to consumers online. Our products are designed for children ages 7–10 and are purchased primarily by parents, grandparents, and other adults.

These Terms of Service constitute a legally binding agreement between you and RP, LLC concerning your access to and use of the Services.

By accessing or using the Services, or by placing an order and accepting these Terms during checkout, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

If you do not agree with all of these Terms, you must discontinue use of the Services.

Users who are minors must have the permission and direct supervision of a parent or legal guardian when using the Services.

1. OUR SERVICES

The information provided through the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to applicable law or regulation.

Rack Pack products are designed for children ages 7–10. Purchases and payment transactions should be completed by an adult or by a person legally authorized to enter into the transaction.

Users are responsible for complying with applicable local laws when accessing the Services.

2. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, RP, LLC owns or licenses the intellectual property rights in the Services, including website designs, text, photographs, illustrations, graphics, characters, logos, trademarks, video, audio, software, and other content (collectively, the "Content").

The Content and Rack Pack trademarks, service marks, characters, and logos (the "Marks") are protected by applicable copyright, trademark, and intellectual property laws.

Subject to your compliance with these Terms, you are granted a limited, revocable, non-exclusive, non-transferable right to access and use the Services for personal, non-commercial purposes.

No part of the Services, Content, or Marks may be copied, reproduced, sold, licensed, distributed, publicly displayed, or otherwise commercially exploited without our prior written permission.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

you have the legal capacity to agree to these Terms;
if you are a minor, you have received permission from your parent or legal guardian;
the information you provide is accurate and complete;
you will not access the Services using unauthorized automated means;
you will not use the Services for unlawful or unauthorized purposes; and
your use of the Services will comply with applicable laws and regulations.

We reserve the right to suspend or terminate access to the Services where information provided is false, inaccurate, fraudulent, or incomplete.

4. PRODUCTS

We make reasonable efforts to display the colors, features, specifications, descriptions, photographs, and other details of our products accurately.

However, displays may vary by device and we cannot guarantee that every image, color, measurement, description, or visual representation will appear exactly as the physical product.

All products are subject to availability.

We reserve the right to discontinue, modify, or update products at any time.

Prices may change without prior notice.

5. PURCHASES AND PAYMENT

We may accept major payment methods made available through our ecommerce checkout, including supported credit cards, digital wallets, and other payment methods offered by our payment provider.

You agree to provide current, complete, and accurate purchase, billing, shipping, and contact information.

All payments are processed in United States dollars (USD).

Applicable sales tax and shipping charges will be displayed during checkout where required.

You authorize the applicable payment provider to charge the payment method selected during checkout for the total amount of your order.

We reserve the right to correct pricing errors and to refuse, limit, or cancel an order where reasonably necessary, including suspected fraud, incorrect pricing, inventory errors, or purchases appearing to be made for unauthorized resale.

6. RETURNS AND REFUNDS

Please review our Return & Refund Policy before making a purchase.

Customers may request eligible returns within 30 days of receiving their order, subject to the conditions stated in our Return & Refund Policy.

7. SHIPPING

Rack Pack currently ships within the United States only.

International shipping is not available at launch.

Orders are shipped using tracked shipping services, including USPS and/or other supported carriers when available.

Shipping rates and estimated delivery options are displayed during checkout.

Estimated delivery times are not guaranteed and may be affected by carrier delays, weather, holidays, or other circumstances outside our control.

8. PROHIBITED ACTIVITIES

You may not use the Services for purposes other than those for which they are provided.

You agree not to:

use the Services for unlawful or fraudulent purposes;
attempt to gain unauthorized access to accounts, systems, or information;
interfere with the security or operation of the Services;
upload viruses, malicious code, or other harmful materials;
scrape, mine, systematically retrieve, or reproduce Service data without permission;
impersonate another person or entity;
use automated bots or scripts in an unauthorized manner;
infringe intellectual property or privacy rights;
submit false or misleading information;
use the Services to harass, threaten, abuse, or harm others;
attempt to reverse engineer software used in connection with the Services; or
use Rack Pack content or intellectual property to create competing commercial products without authorization.

Violation of these Terms may result in suspension or termination of access to the Services.

9. SUBMISSIONS AND FEEDBACK

If you send us feedback, suggestions, comments, questions, ideas, or other materials regarding Rack Pack or the Services ("Submissions"), you agree that we may use such Submissions for lawful business purposes without compensation or obligation to you.

You represent that you have the right to provide any Submission you send to us and that it does not violate applicable law or the rights of third parties.

10. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to monitor use of the Services for violations of these Terms and to take appropriate action where necessary to protect Rack Pack, our customers, our intellectual property, or the security and operation of the Services.

11. PRIVACY POLICY

We care about privacy and data security.

Please review the Privacy Policy published on our website and during the applicable Shopify checkout experience.

By using the Services, you acknowledge that your personal information may be processed in accordance with our Privacy Policy and applicable privacy settings.

12. TERM AND TERMINATION

These Terms remain in effect while you use the Services.

We reserve the right, subject to applicable law, to restrict, suspend, or terminate access to the Services where a user violates these Terms, engages in fraudulent or unlawful activity, or threatens the security or integrity of the Services.

13. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify, update, suspend, or discontinue all or part of the Services at any time.

We cannot guarantee that the Services will always be available without interruption.

Maintenance, technical issues, third-party service disruptions, or other circumstances may result in temporary interruptions.

14. GOVERNING LAW

These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to conflict-of-law principles.

15. DISPUTE RESOLUTION

Before initiating formal proceedings, the parties agree to attempt in good faith to resolve disputes relating to these Terms through informal negotiations for at least thirty (30) days after written notice of the dispute.

Where permitted by applicable law, unresolved disputes may be resolved through binding arbitration in accordance with applicable American Arbitration Association rules.

Nothing in this provision prevents either party from seeking appropriate injunctive relief or enforcing intellectual property rights where permitted by law.

Where a dispute properly proceeds in court rather than arbitration, the parties agree to the jurisdiction of the appropriate state or federal courts located in Oregon, subject to applicable law.

16. CORRECTIONS

Information available through the Services may occasionally contain typographical errors, inaccuracies, or omissions involving product descriptions, pricing, availability, shipping information, or other content.

We reserve the right to correct errors and update information at any time.

17. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

WE DO NOT GUARANTEE THAT THE SERVICES WILL ALWAYS BE ERROR-FREE, UNINTERRUPTED, OR COMPLETELY SECURE.

NOTHING IN THESE TERMS EXCLUDES WARRANTIES, RIGHTS, OR REMEDIES THAT CANNOT LEGALLY BE EXCLUDED UNDER APPLICABLE CONSUMER PROTECTION LAW.

18. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RP, LLC AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM USE OF THE SERVICES.

WHERE LIABILITY CANNOT BE EXCLUDED, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Certain jurisdictions do not permit some limitations of liability, so portions of this section may not apply to you.

19. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless RP, LLC and its officers, employees, agents, affiliates, and partners from claims, losses, liabilities, or expenses arising from your unlawful use of the Services, breach of these Terms, or violation of third-party rights.

20. USER DATA

We may maintain information transmitted through the Services for purposes including processing purchases, providing customer support, maintaining the Services, preventing fraud, and complying with applicable law.

Personal information is handled in accordance with our Privacy Policy.

21. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, placing orders, completing online forms, and sending emails constitute electronic communications.

You consent to receive transactional communications electronically where appropriate, including order confirmations, shipping notifications, policies, disclosures, and other records relating to transactions.

Electronic agreements and records may satisfy legal requirements that such communications be in writing, where permitted by applicable law.

22. CALIFORNIA USERS AND RESIDENTS

California residents may have additional rights under California law.

If a complaint is not satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs as permitted by applicable law.

23. MISCELLANEOUS

These Terms, together with policies incorporated into them, constitute the agreement between you and RP, LLC concerning your use of the Services.

If any provision is determined to be unlawful or unenforceable, that provision will be considered severable and the remaining provisions will continue in effect to the extent permitted by law.

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
